1. Who we are

ByteSell is run by ByteSell LLC, a New Mexico, USA company ("ByteSell", "we", "us"). These Terms cover your use of bytesell.io and everything we build there: the dashboard, hosted storefronts, embeds for your own website, checkout, subscription billing, analytics, authentication services, and APIs (together, the "Platform").

Using the Platform means you agree to these Terms. If you are using it for a company, you are confirming you can sign on its behalf, and "you" means that company.

2. Definitions

  • Platform - the ByteSell website, dashboard, hosted storefronts, embeds, checkout, subscription billing, analytics, authentication services, and APIs.
  • Seller - someone who runs a Storefront and sells Digital Goods using the Platform.
  • Buyer - someone who buys Digital Goods from a Seller through a Storefront.
  • Storefront - the store and checkout a Seller runs on the Platform, whether hosted by us on our infrastructure (including custom domains) or embedded into the Seller's own website.
  • Digital Goods - the digital products a Seller sells: software, license keys, files, templates, source code, media, or access to a digital service, sold as a one-time purchase or a recurring subscription.
  • Merchant of Record - the party legally on the hook to the Buyer for a sale, and for the tax on it. On ByteSell, that is always the Seller.

3. What the Platform is (and is not)

ByteSell gives sellers of digital goods the tools to run a store: a storefront (hosted on our infrastructure or embedded into your own website), a checkout for one-time purchases and recurring subscriptions, analytics, and authentication for buyer accounts. That is the whole service. Three things are worth being blunt about:

  • We are non-custodial. Your money never touches us. You connect your own Stripe, PayPal, and crypto wallets (USDT-TRC20, Solana, EVM), and payments, one-time and recurring alike, go straight to you, on-chain or through your own processor.
  • We are not the merchant of record. You are, on every sale.
  • We are not a payment processor, bank, or money transmitter. The actual processing is done by third parties using your own credentials.

Subscription billing works the same way: we manage the plans, renewals, and access, and the recurring charges themselves run on your own processor. Newer capabilities, like authentication, may ship in early access and can change while they mature.

Every sale is a contract between the Buyer and the Seller. We are not part of it, and we never own or take title to the goods.

4. Eligibility

You need to be 18 or older and able to enter a contract. You cannot be on a sanctions list or in a sanctioned region, and you have to follow export and sanctions laws when you use the Platform.

5. Seller obligations

If you sell on ByteSell, your store is your business, and running it right is on you:

  • You are the merchant of record, so your legal, tax, and VAT compliance is yours to handle, everywhere you sell.
  • You set your own refund policy and handle your own buyer support and disputes. See the Refund & Dispute Policy.
  • You own or are licensed to sell whatever you list, it is described honestly, and it is delivered as promised.
  • You connect and secure your own payment credentials and wallets.
  • You follow the Acceptable Use Policy, which is part of these Terms.

6. Buyer terms

When you buy from a store on ByteSell, you are buying from the Seller, not from us. The Seller owns the product, the delivery, the refund policy, and the support. If you buy a recurring subscription from a Seller, it renews automatically until you cancel it, and cancelling stops future renewals. We do not process your payment, hold your money, or issue refunds. Refund requests and disputes go to the Seller. The Refund & Dispute Policy explains how this works.

7. Fees and subscriptions

We charge for the tooling, not for your sales. Right now there is a Free plan at no cost, Pro at $29 a month and Business at $99 a month, all three with no platform fee on any sale at any volume. Payment processing is charged by your own processor, not by us.

The Pricing page is the source of truth for current fees. The numbers here are a snapshot and can change; if the two ever disagree, Pricing wins.

Paid plans renew automatically until you cancel. You can cancel anytime from your dashboard, and it takes effect at the end of the current billing period, so you keep Pro through the period you already paid for. ByteSell fees are non-refundable and we do not prorate: cancelling stops future billing but does not refund the current period. Our fees are separate from anything your payment providers or the blockchain charge, and we will give you reasonable notice before changing them.

Start a chargeback or payment reversal against a legitimate ByteSell charge and we may immediately suspend or terminate your account and shut down your storefront, without notice. Any balance you owe stays due, and we may recover the reversed amount and any associated fees. If a subscription or usage payment fails, expires, or goes unpaid, we may suspend your account and storefront until it is settled, and terminate it if it stays unpaid. If a charge looks wrong to you, email support@bytesell.io first, we will sort it out faster than your bank will.

8. Taxes

You are the merchant of record, so taxes are yours. That means working out, collecting, and remitting any sales tax, VAT, GST, or similar on your sales. We provide tooling and nothing more: we do not act as merchant of record and we do not remit tax for you or your buyers. You are also responsible for any tax on the fees you pay us, except tax on our own income.

9. Intellectual property

ByteSell, the software, the design, and the name and logo are ours. We give you a limited, personal, revocable license to use the Platform under these Terms. Do not copy, resell, or reverse engineer it beyond what the law allows.

Your content stays yours: your products, your store copy, your branding. You give us permission to host, store, and display it as needed to run the Platform for you and your buyers. Make sure you actually hold the rights to what you upload.

10. Third-party services

The Platform runs on services we do not control, like Stripe, PayPal, public blockchains, Cloudflare, and AWS. When you use them through ByteSell, their terms apply too. If one of them goes down or misbehaves, that is not on us and it is not a breach of these Terms.

11. Cryptocurrency risks

If you take crypto, know what comes with it:

  • Prices move, sometimes a lot.
  • On-chain payments are final. Once a transaction confirms, it cannot be reversed or charged back.
  • Send to the wrong address or network and the funds are likely gone for good. We cannot get them back.
  • Networks can congest, fork, or go down, and none of that is in our control.

Since we never hold your crypto, we cannot act on-chain for you. Your wallets and keys are your responsibility.

12. Disclaimer of warranties

The Platform is provided "as is", without warranties of any kind. We do not promise it will be uninterrupted, bug-free, or perfectly secure. None of this cuts into rights you have under mandatory consumer law.

13. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost profits, data, or funds (including crypto). Our total liability to you is capped at whatever you paid us in the twelve months before the claim, or $100, whichever is greater. Some places do not allow these limits, so parts may not apply to you, and nothing here removes liability that cannot legally be removed.

14. Indemnification

If your products, your content, your sales, your taxes, or your breach of these Terms or the Acceptable Use Policy lead to a claim against us, you will cover it, including reasonable legal costs. For sellers, that includes claims from buyers or authorities about what you sold.

15. Suspension and termination

You can leave anytime and close your account. We can suspend, limit, freeze a storefront, or end your access, with or without notice, if we reasonably think you have broken these Terms or the Acceptable Use Policy, created legal or security risk, or where the law requires it. This also covers a chargeback or reversal against a legitimate ByteSell charge, or ByteSell fees that go unpaid (see Fees and subscriptions). When access ends, your license ends too, but the parts that should outlive the account (fees owed, IP, disclaimers, liability caps, and indemnification) survive.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA. ByteSell LLC is a New Mexico company, and that is where disputes are anchored.

Disputes are resolved through binding individual arbitration, with both sides waiving jury trials and class or collective actions. Where mandatory law does not allow this, it does not apply to you.

This does not strip you of consumer rights you cannot waive at home. If you are a consumer in the EU or UK, nothing here removes protections guaranteed by your local law, and you can still go to your local courts.

17. Changes to these Terms

We will update these Terms now and then. For anything material, we will change the version and date at the top and give notice where it makes sense. Keep using the Platform after a change and you are accepting the new version.
